Overview
Same company, same software, same iPhone requirement, same health sensor set, and a $400 gap. The Series 12 starts at $399 and the Ultra 4 at $799. That gap does not buy better health tracking, because the sensors are shared. It buys endurance, a different case and a set of outdoor capabilities the Series 12 does not have.

Four things separate them. Battery: up to 24 hours against up to 50. Case: 42 or 46 mm aluminium against a single 49 mm in Grade 5 titanium. Water: 50 m against 100 m with a separate rating for recreational scuba to 40 m. And brightness: up to 2,000 nits against 3,000. Everything else is close enough to ignore.
Battery
The clearest difference and the one most people feel. Series 12 is quoted at up to 24 hours of normal use and 38 in Low Power Mode. Ultra 4 is quoted at up to 50 hours and 84 in Low Power Mode. In practice that is the difference between charging every night and charging every second or third day — and it is the whole argument for the Ultra on a weekend that does not include a plug.
Size and material
The Series 12 comes in 42 mm and 46 mm aluminium. The Ultra 4 comes in one size, 49 mm, in Grade 5 titanium. There is no small Ultra. If your wrist is slim, or you want a watch that disappears under a cuff, the Series 12 is the only one of the two that answers that, and no feature list changes it.
Water and diving
Series 12 is rated 50 m, with IP6X dust resistance. Ultra 4 is rated 100 m and separately rated as a dive computer for recreational scuba to 40 m. Those are different claims: one is about surviving water, the other is about working under it. If you dive, only one of these is a candidate.
Display
Both use an Always-On Retina display. The Ultra 4 peaks at 3,000 nits against the Series 12's 2,000. That matters in direct sun on a trail and almost nowhere else.
Health and sensors
This is where the price gap buys nothing. Both carry Apple's health sensing system, both produce a readiness score, both track sleep, and both run the same watchOS with the same apps. If health tracking is why you are buying, the Series 12 gives you all of it at half the price.
Outdoor features
The Ultra 4 adds precision dual-frequency GPS, satellite messaging and the rugged case the rest of the watch is built around. These are the features that justify its existence, and they are worth exactly what they are worth to you: a hiker far from a signal values satellite messaging, and a commuter does not.
Phone compatibility and cost
Both require an iPhone — Series 12 with iOS 27 or later, Ultra 4 an iPhone 11 or later with iOS 27. Neither requires a subscription for what it does. Two optional costs sit near both and should not be confused with the watch: a carrier plan for a cellular model, and Apple's own services, none of which are required.
Which one may fit you better
Consider the Series 12 if you want the health tracking, the apps and the notifications, charge your watch nightly anyway, and would rather have a case that fits a smaller wrist or costs half as much. Consider the Ultra 4 if you spend days away from a charger, dive, hike beyond mobile coverage, or want the brightest screen Apple makes.
Important considerations
Twice the price does not mean twice the watch. The health features most people buy an Apple Watch for are identical across both, and the Ultra's advantages are concentrated in battery, durability and the outdoors. If none of those three describe your week, the gap is hard to justify. There is also only one Ultra size, so it cannot be made smaller.
